BIOCARBS Mobile & Web Application End User Licence Agreement (EULA)

PLEASE READ THIS END USER LICENCE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE ACCESSING OR USING THE BIOCARBS APPLICATION, MOBILE PORTAL, OR PLATFORM SERVICES ("APPLICATION"). BY CLICKING "I AGREE", REGISTERING AN ACCOUNT, OR UPLOADING DATA, YOU ("END USER" OR "YOU") AGREE TO BE BOUND BY THIS AGREEMENT WITH ROSEHIP ANALYTICS INC. ("BIOCARBS", "WE", OR "US").

1. 01

   Grant of Licence

   Limited, non-exclusive, non-transferable, non-sublicensable, revocable licence for authorized commercial waste logging, receipt parsing, and metadata management on behalf of Participating Facility.

2. 02

   Authorized User Obligations & Image Verification Standard

   Accuracy warrant for genuine unaltered receipts; prohibition of falsified, manipulated, or duplicated manifests; image quality for OCR.

3. 03

   Data Processing & Ephemeral Pipeline

   Raw images and location telemetry are ephemeral, encrypted, and sent to Canadian archives for 10-year SOR/2022-140 s.166 retention; metadata, CI, and attributes vest exclusively in Rosehip for ECCC CATS and provincial registries.

4. 04

   Restrictions

   No copy, modify, or derivative; no reverse engineer; no rent or transfer credentials; no upload of lots already on competing registries; no bypass security.

5. 05

   IP

   Application licensed, not sold; Rosehip retains all rights.

6. 06

   Termination

   Auto-terminate on breach; suspend for fraud, double-counting, or unauthorized access.

   Disclaimer

   AS IS / AS AVAILABLE; disclaimer of warranties under Canadian law.

8. 08

   Limitation of Liability

   No indirect or consequential damages; aggregate cap $100.00 CAD.

9. 09

   Governing Law

   Alberta and federal Canadian law; exclusive courts in Edmonton, Alberta.
